Terms of Service — Cockroach Network

1. Who we are

Cockroach Network ("Cockroach", "we", "us") operates the website at roach.network and

the Cockroach Network application (together, the "Service").

Until incorporation in Panama is complete, the Service is operated by its founder

personally, and references to "the Company" should be read accordingly.

2. Accepting these Terms

By creating an account or using the Service you agree to these Terms and to our

Content Policy and Privacy Policy. If you do not

agree, do not use the Service.

3. Who may use the Service

You must be 18 years or older to create an account. The Service is not directed at

children and we do not knowingly allow anyone under 18 to register. If we learn that an

account belongs to a minor we will close it.

You must also not be barred from using the Service under the laws that apply to you.

Restricted jurisdictions

Where the Service is not available at all. We do not offer the Service to persons

resident in, located in, or accessing it from Iran, North Korea, Syria, Cuba or

Afghanistan, or any other jurisdiction subject to comprehensive sanctions. Accounts

cannot be created from these places.

Where the token side is not available. Token conversion, on-chain migration, and any

marketplace involving transferable assets are not offered to persons resident in,

located in, or accessing the Service from:

Mariana Islands, Puerto Rico, the U.S. Virgin Islands and the U.S. Minor Outlying

Islands);

You may register and use the communication and activity features from these places, but

any ROACH balance accrued there is non-convertible and void where prohibited.

How this is applied. You state your country when you register, and we also determine

the country your connection appears to come from. Giving a false country is a breach of

these Terms and does not make your account or your balance valid. Crimea, Donetsk and

Luhansk have no country code of their own, so they cannot be identified automatically;

the obligation not to use the Service from those regions rests with you.

You remain solely responsible for complying with the laws of your own jurisdiction. We

may geo-block, suspend, or void balances where required by law or sanctions compliance.

4. Your account

6. Acceptable use

You agree not to use the Service to:

enforcement;

7. Your content

You keep ownership of what you post. You grant us a worldwide, non-exclusive,

royalty-free licence to host, store, reproduce and display your content **solely to

operate and moderate the Service**. This licence ends when you delete the content or

your account, except for copies we must retain for legal or safety reasons (see §9).

You confirm you have the right to post what you post.

9. Illegal content and law enforcement

We have zero tolerance for child sexual abuse material. Where we identify or are

notified of such material we will remove access to it, preserve the relevant evidence,

suspend the account, and report it to the appropriate authorities — including, where

there is a connection to India, the National Cyber Crime Reporting Portal

(cybercrime.gov.in) and the local police, and to NCMEC where applicable.

We may preserve and disclose account information and content where we believe in good

faith that it is required by law, or necessary to prevent serious harm.

10. Availability

The Service is provided "as is" and "as available". We do not promise it will be

uninterrupted, error-free or secure, and we may change or discontinue any part of it.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental,

special or consequential loss, or for any loss of profit, revenue, data, or the value

(if any) of ROACH.

Nothing in these Terms limits liability that cannot lawfully be limited — including,

in many countries, liability for fraud, death or personal injury caused by negligence,

or your statutory consumer rights.

12. Indemnity

You agree to indemnify us against claims arising from your breach of these Terms or your

misuse of the Service, to the extent permitted by law.

13. Suspension and closing your account

You may stop using the Service and request deletion at any time (see the Privacy Policy).

We may suspend or close an account that breaches these Terms. Unused ROACH is forfeited

on closure.

14. Changes

We may update these Terms. Material changes will be notified in the app or by email, and

take effect when published. Continuing to use the Service means you accept the change.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Panama, and the courts of Panama

have non-exclusive jurisdiction.

This does not remove any mandatory protection or right you have under the law of the

country where you live, and it does not affect the powers of your local regulators or

courts.
